These Terms of Service (“Terms”) are a contract between you and CODMetrics (“CODMetrics”, “we”, “us”) governing your use of codmetrics.com and the CODMetrics application (the “Service”). By creating an account or using the Service you accept these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind it.

CODMetrics connects your advertising accounts (Meta, Google Ads, TikTok) and your store (Shopify, WooCommerce), matches orders to the ads that produced them, and calculates performance metrics based on delivered orders — including AI-generated analysis of those metrics. The Service reads data from the platforms you connect; it does not modify your campaigns or your store.

You must be at least 18 and provide accurate account information. You are responsible for keeping your credentials secure and for all activity under your account, including team members you invite. Tell us immediately at support@codmetrics.com if you suspect unauthorized access.

When you connect an ad account or store, you authorize CODMetrics to access that account’s data on your behalf through the platform’s official API. You represent that you have the right to grant that access, and you remain responsible for complying with the terms of each connected platform (Meta, Google, TikTok, Shopify, WooCommerce). You can disconnect any account at any time from your settings, which stops syncing immediately.

• Subscriptions are billed monthly or yearly in advance through Stripe, our payment processor. A valid payment method is required.
• Most plans start with a 14-day trial billed once up front at a reduced fee. The trial fee is a real charge, and your plan's regular price begins automatically when the trial ends unless you cancel first. Plans without a trial bill immediately.
• Each plan includes usage limits (such as monthly orders, connected accounts, and data retention). If you exceed a limit, the related feature pauses until you upgrade or the limit resets — we don't charge overage fees.
• Upgrades take effect immediately with a prorated charge. Downgrades and cancellations take effect at the end of the current billing period.
• We may change prices with at least 30 days' notice; changes apply from your next billing cycle.
• Except where required by law, payments — including trial fees — are non-refundable.

You can cancel your subscription at any time from your billing settings. You keep access until the end of the period you have paid for, after which your account moves to a state where syncing stops. Deleting your account removes your data as described in our Privacy Policy.

You agree not to:

• Access the Service with accounts or data you are not authorized to use.
• Probe, scrape, reverse-engineer, or disrupt the Service, or bypass plan limits and security controls.
• Resell or white-label the Service without a written agreement with us.
• Use the Service for anything unlawful, or to process data you have no legal right to process.

We may suspend or terminate accounts that violate this section, with notice where practical.

You own the data you bring to the Service — your ad data, order data, and anything derived from them for your workspace. You grant us the limited license needed to host and process that data to provide the Service. How we collect, protect, retain, and delete data is described in the Privacy Policy, which is part of these Terms.

Our metrics depend on the accuracy and completeness of the data the connected platforms return, and attribution matching is inherently probabilistic in some cases. AI-generated insights and chat responses are automated analysis, can be wrong, and are not financial, investment, or professional advice. Business decisions you make based on the Service are yours.

The Service — its software, design, and branding — belongs to CODMetrics. These Terms give you a limited, non-exclusive, non-transferable right to use it while your subscription is active. Feedback you send us may be used to improve the Service without obligation to you.

The Service depends on APIs operated by Meta, Google, TikTok, Shopify, WooCommerce, and our infrastructure providers. We are not responsible for their availability, rate limits, pricing, or policy changes, and a platform revoking or restricting API access may limit or end features that depend on it.

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that metrics will be complete or accurate.

To the maximum extent permitted by law, CODMetrics will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of the Service is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

You can stop using the Service and delete your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or where required by law. On termination, your right to use the Service ends and your data is deleted per the Privacy Policy. Sections that by their nature should survive (including 9, 10, 12, 13, and 16) survive termination.

We may update these Terms as the Service evolves. For material changes we will notify you by email or in the app at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.

These Terms are governed by the laws of Morocco, and disputes will be resolved in the courts of Casablanca, unless the mandatory consumer law of your country of residence provides otherwise.
